1. Acceptance of Terms

By accessing or using the website of IKON HVAC Supply Inc. ("IKON," "we," "us," or "our"), or by purchasing products or services from IKON, you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use this website or purchase products or services from IKON. These terms constitute a legally binding agreement between you and IKON HVAC Supply Inc.

2. Wholesale Contractor Sales Only

IKON HVAC Supply Inc. is a wholesale distributor serving contractors and commercial clients only. We work exclusively with:

• Licensed HVAC contractors
• Sheet metal contractors
• Mechanical contractors
• Builders and developers
• Commercial and industrial clients

We do not sell to the general public or residential homeowners. All contractor accounts are subject to verification and approval. IKON reserves the right to refuse service to any individual or entity at its sole discretion.

3. Pricing and Payment Terms

3.1 Pricing: Pricing is not displayed publicly and is available only to approved contractor accounts. All prices are quoted in Canadian dollars (CAD) and are subject to change without notice. Pricing may vary based on order volume, material costs, and market conditions. IKON is not obligated to honor pricing errors or outdated quotes.

3.2 Payment Methods: Payment is accepted via cash, certified cheque, wire transfer, credit card, or approved credit account. Credit card payments may be subject to processing fees.

3.3 Credit Accounts: Credit accounts are available for qualified contractors subject to credit approval and terms. Payment terms are established upon account approval (e.g., Net 15, Net 30). Late payments are subject to interest charges at a rate of 2% per month (26.82% annually) or the maximum rate permitted by law, whichever is lower.

3.4 Taxes: All prices are exclusive of applicable taxes, including Harmonized Sales Tax (HST) or Goods and Services Tax (GST), which will be added to invoices as required by law.

4. Custom Sheet Metal Fabrication Orders

4.1 Custom Orders: All custom sheet metal fabrication orders are final sale and non-refundable once production begins. Customers are responsible for providing accurate specifications, measurements, and drawings. IKON is not liable for errors in customer-provided specifications.

4.2 Turnaround Time: Standard turnaround time for custom fabrication is 5 business days. Rush orders are available with additional charges and are subject to availability. Same-day fabrication is available for select orders only and is not guaranteed. Production timelines are estimates and are not guaranteed.

4.3 Approval: Customers must approve fabrication quotes before production begins. Changes to specifications after production has started may result in additional charges or delays.

4.4 Materials: IKON uses industry-standard materials (galvanized steel, black iron, etc.) unless otherwise specified. Material specifications are subject to availability.

5. Product Availability and Orders

5.1 Availability: Product availability is subject to change without notice. IKON does not guarantee that products displayed on the website are in stock. All orders are subject to acceptance and availability.

5.2 Order Acceptance: IKON reserves the right to refuse or cancel any order at its sole discretion, including orders that appear fraudulent, violate these terms, or exceed available inventory.

5.3 Backorders: If products are on backorder, IKON will notify the customer and provide an estimated delivery date. Customers may cancel backorders at any time before shipment.

6. Delivery and Pickup

6.1 Delivery Areas: Local delivery is available within the Greater Toronto Area (GTA), approximately 60-70 km radius from Mississauga. Delivery charges apply and are calculated based on distance and order size.

6.2 Delivery Times: Delivery times are estimates and are not guaranteed. IKON is not liable for delays caused by weather, traffic, or other circumstances beyond our control.

6.3 Warehouse Pickup: Warehouse pickup is available during business hours (Monday-Friday, 8:00 AM - 5:00 PM) at 455 Gibraltar Dr, Unit #7, Mississauga, ON L5T 2S9.

6.4 Risk of Loss: Risk of loss and title to products pass to the customer upon delivery or pickup. Customers are responsible for inspecting products upon receipt.

6.5 Inspection: Customers must inspect products immediately upon delivery or pickup and report any damage, defects, or discrepancies within 48 hours. Claims submitted after 48 hours may not be accepted.

7. Returns and Refunds

7.1 Stock Items: Stock items may be returned within 30 days of purchase with prior approval from IKON. Returns are subject to a restocking fee of 20%. Products must be in original condition, unused, and in original packaging.

7.2 Custom Fabrication: Custom fabrication orders are final sale and non-refundable.

7.3 Defective Products: Defective products may be returned or exchanged within 30 days of purchase. IKON will repair, replace, or refund defective products at its sole discretion.

7.4 Return Authorization: All returns require prior authorization. Contact IKON to obtain a Return Authorization (RA) number before returning products.

8. Warranties and Disclaimers

8.1 Manufacturer Warranties: HVAC equipment and products are covered by manufacturer warranties. Warranty terms vary by manufacturer. IKON is not responsible for manufacturer warranty claims.

8.2 Fabrication Warranty: Custom fabrication is warranted to be free from defects in materials and workmanship for 90 days from the date of delivery. This warranty does not cover damage caused by improper installation, misuse, or normal wear and tear.

8.3 Disclaimer of Warranties: Except as expressly stated herein, IKON makes no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. Products are sold "as is" to the extent permitted by law.

8.4 Installation: IKON is not responsible for installation errors, improper use, or failure to comply with local building codes and regulations. Installation must be performed by qualified professionals.

9. Limitation of Liability

To the maximum extent permitted by law, IKON HVAC Supply Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our products or services, including but not limited to loss of profits, business interruption, or property damage. Our total liability for any claim shall not exceed the purchase price of the products or services in question.

IKON is not liable for delays, failures, or damages caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, material shortages, or government actions.

10. Credit Account Terms

10.1 Credit Approval: Credit accounts are subject to approval and credit limits established by IKON. IKON reserves the right to deny credit applications or modify credit limits at any time.

10.2 Payment Terms: Payment terms are net 30 days from the invoice date unless otherwise specified. Late payments are subject to interest charges at a rate of 2% per month (26.82% annually) or the maximum rate permitted by law.

10.3 Suspension and Termination: IKON reserves the right to suspend or terminate credit accounts for non-payment, violation of terms, or any reason at its sole discretion.

10.4 Collection Costs: Customers are responsible for all costs associated with collection of overdue accounts, including legal fees, collection agency fees, and court costs.

10.5 Personal Guarantee: IKON may require a personal or corporate guarantee for credit accounts. Guarantors are jointly and severally liable for all amounts owed.

11. Intellectual Property

All content on the IKON website, including text, graphics, logos, images, and software, is the property of IKON HVAC Supply Inc. or its licensors and is protected by Canadian and international copyright and trademark laws. Unauthorized reproduction, distribution, or use of website content is strictly prohibited.

12. Indemnification

You agree to indemnify, defend, and hold harmless IKON HVAC Supply Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of products or services, violation of these terms, or infringement of any third-party rights.

13. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these terms or the use of IKON's products or services shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

14. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

15. Modifications to Terms

IKON reserves the right to modify these Terms and Conditions at any time without prior notice. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the website or services after changes are posted constitutes acceptance of the revised terms.
